“Client” refers to any entity or individual utilizing our procurement services.
“Supplier” refers to vendors providing goods and services through our procurement process.
“Agreement” refers to any written contract or purchase order entered between the Company and a Client or Supplier.
3. Scope of Services
Our Company provides procurement, facilitation, and management services for construction, design, medical, electrical, and mechanical projects. The specific services provided will be outlined in individual contracts or purchase agreements.
4. Orders and Payments
All orders must be confirmed in writing via a formal purchase order or contract.
Payments must be made in accordance with the agreed-upon terms stated in the invoice.
Late payments may incur interest or penalties as per applicable laws.
5. Delivery and Performance
The Company will use reasonable efforts to meet agreed timelines; however, delays due to unforeseen circumstances will not constitute a breach of contract.
Any discrepancies in delivered goods or services must be reported within 48 hours of receipt.
6. Warranties and Liability
The Company provides no warranties beyond those expressly stated in contractual agreements.
We are not liable for indirect, incidental, or consequential damages arising from the use of our services.
7. Confidentiality
Both parties agree to keep all proprietary or confidential information shared during business engagements secure and not disclose it to third parties.
8. Compliance and Legal Obligations
All transactions must comply with applicable local, state, and federal laws and regulations.
Clients and Suppliers must adhere to all industry-specific compliance requirements.
9. Termination
Either party may terminate an agreement with written notice via email or postal mail.
Termination does not relieve either party of obligations accrued prior to the termination date.
10. Dispute Resolution
Any disputes arising from these Terms shall be resolved through negotiation, and if unresolved, through arbitration in White Plains, N.Y.
11. Amendments and Updates
We reserve the right to update or modify these Terms at any time. Any changes will be communicated via our website or direct notice.
